FlipLane Affiliate Program Agreement

Effective Date: April 2026

This Affiliate Program Agreement ("Agreement") is entered into between Byrd Dawgs Automotive Group, LLC ("FlipLane," "Company," "we," "us") and you ("Affiliate") upon your acceptance of the terms below. By clicking "I Accept" or using the Affiliate Program, you agree to be legally bound by this Agreement.

1. Program Overview

The FlipLane Affiliate Program allows approved individuals to earn commissions by referring new members and clients to FlipLane's dealer co-op platform. Affiliates promote FlipLane through referral links, social media, and direct outreach.

2. Affiliate Eligibility

To participate as an affiliate, you must:

• Be at least 18 years of age
• Have submitted a complete affiliate application and received approval from FlipLane
• Provide a valid government-issued photo ID for identity verification
• Provide accurate contact and payment information

FlipLane reserves the right to revoke affiliate status at any time for any violation of this Agreement.

3. Commission Structure

3.1 Membership Referrals

Affiliates earn $125 USD (50% of the $250 membership fee, net of Stripe processing) for each referred individual who completes payment and becomes an active FlipLane member. Commission is credited after payment clears and the referred member's account is activated.

3.2 Deal Referrals

Affiliates who source vehicle deals earn $125 USD per closed deal (50% of the $250 processing fee) when the deal is verified and closed by FlipLane.

3.3 Payment Timeline

Commissions are paid via the Affiliate's designated payout method within 7–14 business days of a qualifying event. FlipLane reserves the right to hold commissions for up to 30 days pending verification of the qualifying transaction.

3.4 Chargebacks and Reversals

If a referred member's payment is charged back or reversed, the associated commission will be deducted from the Affiliate's pending or future earnings.

4. Prohibited Activities

As an Affiliate, you agree that you will NOT:

• Make false or misleading claims about FlipLane, its services, or earning potential
• Guarantee specific earnings or investment returns to prospective members
• Use spam, unsolicited emails, or deceptive advertising tactics
• Impersonate FlipLane or its representatives
• Create websites, social media accounts, or content that mimics FlipLane branding without written permission
• Use paid advertising that targets FlipLane-branded keywords without prior written approval
• Refer yourself or family members for commission purposes
• Engage in any form of fraud, manipulation, or deceptive conduct
• Violate any applicable federal, state, or local laws in your promotional activities

Violation of any prohibited activity may result in immediate termination and forfeiture of unpaid commissions.

5. FTC Disclosure Requirements

Affiliates must comply with FTC guidelines requiring clear and conspicuous disclosure of the affiliate relationship in all promotional materials. You must include a statement such as: "I earn a commission if you join FlipLane through my link." Failure to comply may result in affiliate termination.

6. Intellectual Property

FlipLane grants you a limited, non-exclusive, revocable license to use FlipLane's name and approved marketing materials solely for the purpose of promoting the affiliate program. You may not modify, sublicense, or use FlipLane's intellectual property beyond what is expressly permitted. All intellectual property rights remain with FlipLane.

7. Confidentiality

Affiliates agree to maintain the confidentiality of any non-public information disclosed by FlipLane, including platform pricing, commission structures, member data, and internal business information. This obligation survives the termination of this Agreement for two (2) years.

8. Representations & Warranties

You represent and warrant that:

• You have the legal authority to enter into this Agreement
• You will conduct your affiliate activities lawfully and ethically
• All information you provide to FlipLane is accurate and complete
• You will not engage in any activity that may damage FlipLane's reputation

9. Term and Termination

This Agreement is effective upon acceptance and continues until terminated. Either party may terminate at any time with or without cause. Upon termination, your right to earn commissions ceases immediately. FlipLane will pay earned commissions for qualified referrals completed before termination, subject to the 30-day hold period.

10. Limitation of Liability

FlipLane's total liability to you under this Agreement shall not exceed the total commissions paid to you in the prior 90 days. FlipLane is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement.

11. Dispute Resolution

Any dispute arising from this Agreement shall be resolved by binding arbitration in Fulton County, Georgia, under the rules of the American Arbitration Association. The laws of the State of Georgia govern this Agreement. You waive any right to a class action proceeding.

12. Identity Verification

As a condition of participation, Affiliates must provide a valid government-issued photo ID (driver's license, state ID, or passport). This information is used solely for identity verification and payout compliance (including 1099 reporting if applicable). FlipLane stores this information securely and does not sell it to third parties.

13. Amendments

FlipLane may update this Agreement at any time. Continued use of the affiliate program after notice of changes constitutes acceptance of the updated terms.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements relating to the subject matter herein.
